Governed by another state’s law? You know who handles it before work starts.

The Firm’s attorneys are admitted in New York. Advice on another state’s law comes only from an attorney admitted there, and the Firm tells you which route applies before anything is ordered.

Law of another stateDecided before work starts

Another US state

One clause decides who can advise on the rest.

Where a document is governed by the law of a state in which the Firm’s attorneys are not admitted, the Firm will tell you before starting whether it can act, limit its review to New York and federal law and general commercial terms, or refer the document to a panel attorney admitted in that state under that attorney’s own engagement letter.

01

The Firm acts

Where it can properly do so, the Firm handles the document at the usual price for its category. If the description puts it in a higher category, you are told the price before starting.

02

A limited review

The Firm reviews the document under New York and federal law and general commercial terms, and says so in writing, so you know exactly what the review does not cover.

03

A panel attorney

The document goes to a panel attorney admitted in that state, under that attorney’s own engagement letter. You agree terms with that attorney before any work starts.

The rule we work by

Local law, local lawyer. Always.

US law

Handled by [Firm Name, PLLC], attorneys admitted in New York. Advice on the law of a US state comes only from counsel admitted there. Where a document turns on a state outside that admission, it goes to a panel attorney admitted in that state rather than being stretched.

Outside the United States

Non-US law is outside Engross pricing and the Firm does not advise on it. For EU and UK law we can introduce you to Icon.Partners Contract Desk (desk.icon.partners), which works under its own terms and pricing.

A contract with a non-US counterparty that is governed by US law is an ordinary Engross document; if it has more than one governing jurisdiction or two legally equivalent language versions, it is a Complex Contract.

Why we are strict about this

The advice is only as good as the qualification behind it. When a question turns on the law of a place where the Firm’s attorneys are not admitted, we say so before you pay for anything.

Next step

Bring the contract that is stuck.

Usually it is one clause and one jurisdiction. Twenty minutes is generally enough to tell you which route applies and what it costs.
